Disclaimer of Warranties: STEWART ENTERPRISES LLP DBA AMERICAN TILE MURAL makes no representations or warranties of any kind whatsoever with respect to the Product, including copyright, trademark, registered trademark or any other violation of use of images and/or text that the Purchaser provides. No agents or other persons or organizations are authorized to make any warranties on behalf of STEWART ENTERPRISES LLP DBA AMERICAN TILE MURAL or to assume for STEWART ENTERPRISES LLP DBA AMERICAN TILE MURAL any other liability or obligation in connection with the Product. STEWART ENTERPRISES LLP DBA AMERICAN TILE MURAL shall have no liability to any person or organization for, and
PURCHASER hereby expressly waives, all remedies and damages relating to indirect, incidental, consequential or special damages of any description, whether arising out of warranty or other contract, violation, negligence or other tort, or otherwise, including without limitation, recession, difference in value damages, capital losses, foreseeable business losses, loss of profits and reliance damages. STEWART ENTERPRISES LLP DBA AMERICAN TILE MURAL and PURCHASER expressly agree the limitations on indirect, incidental, consequential and special damages set forth in this Section are agreed allocations of risk and shall survive the determination of any court of competent jurisdiction that any remedy provided pursuant to the provisions of this Agreement fails of its essential purpose. Under no circumstances shall STEWART ENTERPRISES LLP DBA AMERICAN TILE MURAL’s liability under this Agreement for any cause exceed the purchase price paid by a purchaser for the product or products that are the subject of a dispute. The provisions of this Section are intended to impose limitations on the recovery of damages.
Indemnification: PURCHASER and its successors and assigns shall indemnify, defend, and hold harmless STEWART ENTERPRISES LLP DBA AMERICAN TILE MURAL and its successors and assigns from and against and in respect of any and all claims, demands, losses, costs, expenses, obligations, liabilities, damages, recoveries and deficiencies, including interest, penalties and reasonable attorneys’ fees, that PURCHASER or AMERICAN TILE MURAL AND STEWART ENTERPRISES LLP may incur or suffer, which arise, result from or relate to any infringement claims asserted against STEWART ENTERPRISES LLP DBA AMERICAN TILE MURAL relating to the Product that result from PURCHASER’s failure to perform any of its obligations pursuant to the provisions of this Agreement.
Force Majeure: STEWART ENTERPRISES LLP DBA AMERICAN TILE MURAL shall not be in breach of this Agreement in the event they are unable to perform their obligations under this Agreement as a result of natural disaster, war, emergency conditions, labor strife, the substantial inoperability of the Internet, the inability to obtain supplies, or other reasons or conditions beyond their reasonable control. Availability and prices are subject to change without notice.
